Terms of Service

1. Acceptance of Terms

By downloading, installing, or using DawSync ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

2. Service Description

DawSync is a "Creative Project OS" for music producers that provides:

  • Project management: Organization and tracking of DAW projects
  • Fingerprint identification: Project recognition via audio fingerprint
  • Snapshots: Capture of creative moments during production
  • Time Intelligence: Productivity statistics and creative patterns
  • Cloud sync (Premium): Backup and multi-device access

2.1 Service Components

3. Subscription Plans

3.1 Free Plan

  • Unlimited local project management

3.2 Premium Plan

  • All Free plan features
  • Cloud synchronization of snapshots
  • Advanced Time Intelligence statistics
  • Multi-device access
  • Priority support

Pricing:

  • Monthly: €4.99/month
  • Annual: €49.99/year (~17% savings)

Prices subject to applicable VAT based on your location

3.3 Automatic Renewal

Subscriptions automatically renew at the end of each billing period. You can cancel at any time from Settings > Subscription. Cancellation takes effect at the end of the current paid period.


4. Local-First Architecture and File Security

4.1 Non-Interference Principle

DawSync operates under a strict "Local-First" architecture. Our software:

  • Does NOT modify your original DAW files (.als, .logicx, .flp, etc.)
  • Does NOT move, rename, or delete projects from your hard drive
  • Does NOT access files without your explicit consent or instruction
  • ONLY performs read operations to generate fingerprints

4.2 Digital Fingerprint Generation

To identify your projects, DawSync generates XXHash64 digital fingerprints by reading rendered audio. This process:

  • Is read-only
  • Does NOT alter the integrity of your original files
  • Generates an irreversible alphanumeric code (audio cannot be reconstructed)

4.3 Snapshots and Captures

The VST3 plugin and M4L device capture audio fragments during your session. These:

  • Are stored in a separate folder (~/.dawsync/captures/)
  • Do NOT modify your original project
  • Can be deleted at any time

5. Disclaimer of Liability - Local Data

5.1 Free Plan

You acknowledge and agree that:

DawSync is NOT a backup service for hard drives or operating systems. On the Free plan, all data is stored exclusively on your local device.

DawSync is NOT responsible for data loss resulting from:

  • Hardware failures (hard drive, SSD failures, etc.)
  • Operating system data corruption
  • Malware, viruses, or ransomware
  • Accidental deletion by the user
  • Natural disasters or theft

Recommendation: Maintain independent backups of your music projects.

5.2 Premium Plan

With the Premium plan, DawSync synchronizes:

  • Project metadata
  • Audio snapshots (per your configuration)
  • Time Intelligence statistics

However, your DAW master files (.als, .logicx, .flp, samples, plugins, etc.) remain under your exclusive control. DawSync syncs references and snapshots, not complete projects.

We strongly recommend maintaining independent backups of your master files.

5.3 General Limitation of Liability

To the maximum extent permitted by applicable law, DawSync Technologies S.L. and its affiliates shall not be liable for:

  • Indirect, incidental, special, or consequential damages
  • Loss of profits, revenue, or anticipated savings
  • Loss of data, music projects, or creative work
  • Business interruption
  • Loss of reputation or goodwill

Maximum limit: Our total liability shall not exceed the amount paid for the Service in the 12 months preceding the incident.


6. Content Ownership

6.1 Your Content

You retain all rights to:

  • Your music projects
  • Audio captured in snapshots
  • Metadata and organization you create

DawSync does not claim ownership of your musical content.

6.2 Limited License

By using the Service, you grant us a limited, non-exclusive, revocable license to:

  • Store and transmit your content for synchronization purposes
  • Process metadata to generate statistics
  • Display project information in the interface

This license terminates immediately upon account deletion.

6.3 Copyright Responsibility

You warrant that:

  • You have rights to the content you upload
  • You do not infringe third-party rights (samples, loops, plugins)
  • The content does not violate applicable laws

DawSync is a neutral tool (similar to a hard drive or recorder). We are not responsible for how you use recorded content.


7. Acceptable Use

7.1 Permitted Uses

  • Personal and professional music production
  • Educational and training use
  • Collaboration with other producers (with their own credentials)

7.2 Prohibited Uses

  • Attempting to access other users' accounts
  • Reverse engineering the software (except as permitted by law)
  • Using the service to store illegal content
  • Reselling service access without authorization
  • Intentionally overloading the infrastructure

8. Right of Withdrawal (European Union)

Pursuant to Directive 2011/83/EU on consumer rights:

8.1 Timeframe

You have 14 calendar days from subscription to withdraw from the contract without giving any reason.

8.2 How to Exercise

Send an email to [email protected] indicating:

  • Your account email
  • Subscription date
  • Clear withdrawal request

8.3 Effects

  • We will refund the full amount within 14 days
  • We will use the same payment method used for purchase
  • Your account will automatically switch to the Free plan

8.4 Exception

If you have begun actively using Premium features (cloud sync, snapshot downloads), you accept that the digital service has started being provided. In this case, the refund will be proportional to the unconsumed time.


9. Privacy and Personal Data

The processing of your personal data is governed by our Privacy Policy.

Summary:

  • We collect only data necessary for the service
  • We do not sell data to third parties
  • You can export and delete your data at any time
  • We comply with GDPR, LOPDGDD, and CCPA

10. CCPA Compliance (California)

If you reside in California:

DawSync does NOT sell or market personal information.

We do not share your data with third parties for direct marketing purposes. We are not a "data broker" as defined by the CCPA.


11. Modification of Terms

We may modify these Terms occasionally. We will notify you of material changes via:

  • Email to your registered address (with 30 days' notice)
  • Prominent notice in the application
  • Updated "Last updated" date

Continued use of the Service after the notification period constitutes acceptance of the new Terms. If you do not agree, you may cancel your subscription without penalty.


12. Suspension and Termination

12.1 By the User

You can cancel your account at any time from Settings > Account > Delete Account. This will:

  • Delete all your data from our servers
  • Cancel any active subscription
  • Be irreversible after 30 days

12.2 By DawSync

We may suspend or terminate your access if:

  • You repeatedly violate these Terms
  • You use the service for illegal activities
  • You fail to pay overdue subscriptions (after notice)

In case of termination by us, we will notify you and you will have 30 days to export your data.


13. Service Availability

13.1 Availability Target

We strive to keep the Service available 24/7. However, we do not guarantee uninterrupted availability. The service may be unavailable due to:

  • Scheduled maintenance (notified in advance)
  • Urgent security updates
  • Infrastructure provider failures
  • Force majeure events

13.2 Offline Operation

Essential DawSync functions (local management, fingerprinting, basic statistics) work without internet connection. Cloud sync requires connectivity.


14. Intellectual Property

14.1 DawSync Software

DawSync, its source code, design, logos, and documentation are owned by DawSync Technologies S.L. and are protected by:

  • Copyright
  • Registered trademarks
  • Trade secrets

14.2 License to Use

We grant you a limited, non-exclusive, non-transferable, revocable license to use the Software in accordance with these Terms.

14.3 Third-Party Software

DawSync uses open-source software under their respective licenses. See THIRD_PARTY_LICENSES.md for details.


15. Governing Law and Jurisdiction

15.1 Governing Law

These Terms are governed by Spanish law, regardless of conflict of law rules.

15.2 Jurisdiction

For any dispute arising from these Terms, the parties submit to the Courts and Tribunals of Barcelona (Spain), expressly waiving any other jurisdiction.

15.3 EU Consumers

If you are a consumer resident in the European Union, you retain the rights granted by mandatory consumer protection legislation of your country of residence.

15.4 Online Dispute Resolution

The European Commission offers an online dispute resolution platform: https://ec.europa.eu/consumers/odr


16. General Provisions

16.1 Entire Agreement

These Terms, together with the Privacy Policy and Cookie Policy, constitute the entire agreement between you and DawSync.

16.2 Severability

If any provision is declared void, the others remain in force.

16.3 Waiver

Failure to exercise a right does not constitute waiver of that right.

16.4 Assignment

You may not assign your rights under these Terms. DawSync may assign its obligations to a successor in case of merger or acquisition.

These Terms of Service comply with Spanish information society services law (LSSI-CE), Directive 2011/83/EU on consumer rights, and European Union consumer protection laws.
